Authority to Execute and Perform. As of the Effective Date, each Party represents and warrants to the other that it: (a) has the power and authority and the legal right to enter into this Agreement and perform its obligations hereunder; (b) has taken all necessary company action on its part required to authorize the execution and delivery of this Agreement; and (c) has duly executed and delivered the Agreement, which constitutes a legal, valid, and binding obligation of it and which is enforceable against it in accordance with the Agreement’s terms.
