Common use of Authority to Execute Transfers Clause in Contracts

Authority to Execute Transfers. Without limitation of any authorization granted to the Administrative Agent hereunder, each Borrower also hereby authorizes the Administrative Agent, upon the occurrence of an Event of Default which is continuing, to execute, in connection with the exercise by the Administrative Agent of its remedies hereunder, any endorsements, assignments or other instruments of conveyance or transfer with respect to the Collateral.

Authority to Execute Transfers. Without limitation of any authorization granted to the Administrative Agent hereunder, each Borrower also hereby authorizes the Administrative Agent, upon the occurrence of an Event of Default which is continuinghas not been waived in writing in accordance with Section 13.1 of this Agreement, to execute, in connection with the exercise by the Administrative Agent of its remedies hereunder, any endorsements, assignments or other instruments of conveyance or transfer with respect to the Collateral.

Without limitation of any authorization granted to the Administrative Agent hereunder, the Borrower and each Borrower Subsidiary Guarantor also hereby authorizes the Administrative Agent, upon the occurrence of an Event of Default which is continuingcontinuing and has not been waived in accordance with Section 15.1 hereof, to execute, in connection with the exercise by the Administrative Agent of its remedies hereunder, any endorsements, assignments or other instruments of conveyance or transfer with respect to the Collateral.
