Common use of Authority to Execute Transfers Clause in Contracts

Authority to Execute Transfers. Without limitation of any authorization granted to the Agent hereunder, the Borrower also hereby authorizes the Agent, upon the occurrence of an Event of Default that has not been waived by the Required Lenders, to execute, in connection with the exercise by the Agent of its remedies hereunder, any endorsements, assignments or other instruments of conveyance or transfer with respect to the Collateral.

Without limitation of any authorization granted to the Agent hereunder, the Borrower also hereby authorizes the Agent, upon the occurrence of an Event of Default that has not been waived in writing by the Required LendersBanks, to execute, in connection with the exercise by the Agent of its remedies hereunder, any endorsements, assignments or other instruments of conveyance or transfer with respect to the Collateral.

Without limitation of any authorization granted to the Agent hereunder, the Borrower and each Subsidiary Guarantor also hereby authorizes the Agent, upon the occurrence of an Event of Default that which is continuing and has not been waived by the Required Lenderswaived, to execute, in connection with the exercise by the Agent of its remedies hereunder, any endorsements, assignments or other instruments of conveyance or transfer with respect to the Collateral.
