Authority to File Financing Statements. The undersigned, on behalf of the Borrower and each Guarantor, hereby authorizes the Collateral Agent to file financing or continuation statements, and amendments thereto, in all jurisdictions and with all filing offices as the Collateral Agent may determine, in its sole discretion, are necessary or advisable to perfect the security interest granted or to be granted to the Collateral Agent under the Guaranty and Security Agreement. Such financing statements may describe the collateral in the same manner as described in the Guaranty and Security Agreement or may contain an indication or description of collateral that describes such property in any other manner as the Collateral Agent may determine, in its sole discretion, is necessary, advisable or prudent to ensure the perfection of the security interest in the collateral granted to the Collateral Agent, including, without limitation, describing such property as “all assets” or “all personal property.”
Authority to File Financing Statements. The Debtor hereby irrevocably authorizes the Collateral Agent, at any time, and from time to time, to file any initial financing statements (and amendments thereto) without the signature of the Debtor that (i) indicate the Collateral, regardless of whether any particular asset comprised in the Collateral falls within the scope of Article 9 of the UCC, and (ii) provide any other information required for the sufficiency or filing office acceptance of any financing statement or amendment. The Debtor also ratifies its authorization for the Collateral Agent to have filed with such offices any amendments to the financing statements or documents of similar import described above.
Authority to File Financing Statements. Seller hereby authorizes Buyer to record, on or before each Purchase Date and at such other times as Buyer may deem necessary, such financing statements or financing statement amendments as are needed to perfect Buyer’s interest, as secured party or owner, of the related Purchased Assets.
Authority to File Financing Statements. Pursuant to any applicable law, each Grantor authorizes the Collateral Trustee to file or record financing statements and other filing or recording documents or instruments with respect to the Collateral without the signature of such Grantor in such form and in such offices as the Collateral Trustee determines appropriate to perfect the security interests of the Collateral Trustee under this Agreement. Each Grantor authorizes the Collateral Trustee to use the collateral description “all personal property” or words of similar effect in any such financing statements. Each Grantor hereby ratifies and authorizes the filing by the Collateral Trustee of any financing statement with respect to the Collateral made prior to the date hereof.
Authority to File Financing Statements. By its signature hereon, each Grantor hereby irrevocably authorizes the Collateral Agent to execute (on behalf of the Grantor) and file against such Grantor one or more financing, continuation or amendment statements pursuant to the UCC in form satisfactory to the Collateral Agent in its Permitted Discretion, and the Grantors will pay the cost of preparing and filing the same in all jurisdictions in which such filing is deemed by the Collateral Agent to be necessary or desirable in order to perfect, preserve and protect its security interests.
Authority to File Financing Statements. The undersigned, on behalf of the Debtor and each other Grantor, hereby authorizes the Administrative Agent to file financing or continuation statements, and amendments thereto, in all jurisdictions and with all filing offices as the Administrative Agent may determine, in its reasonable discretion, are necessary or advisable to perfect all security interests granted or to be granted to the Administrative Agent under the Security Documents. Such financing statements may describe the collateral in the same manner as described in the Security Documents or may contain an indication or description of collateral that describes such property in any other manner as the Administrative Agent may determine, in its reasonable discretion, is necessary, advisable or prudent to ensure the perfection of the security interest in the collateral granted to the Administrative Agent, including, without limitation, describing such property as “all assets” or “all personal property.”
Authority to File Financing Statements. The undersigned, on behalf of the Loan Party, hereby authorizes the Administrative Agent to file financing or continuation statements, and amendments thereto, in all jurisdictions and with all filing offices as the Administrative Agent may determine, in its sole discretion, are necessary or advisable to perfect the security interest granted or to be granted to the lenders and other secured parties under the credit agreement relating to proposed transaction. Such financing statements may describe the collateral in the same manner as described in the credit agreement and related security documents or may contain an indication or description of collateral that describes such property in any other manner as the Administrative Agent may determine, in its sole discretion, is necessary, advisable or prudent to ensure the perfection of the security interest in the collateral granted to the lenders and other secured parties, including, without limitation, describing such property as "all assets" or "all personal property."
Authority to File Financing Statements. Each Grantor authorizes the Collateral Agent or its representatives to file or record financing statements (including continuation statements in respect thereof) containing a description of the Collateral granted hereunder as “all assets” or “all personal property, whether now existing or hereafter acquired, and other filing or recording documents or instruments with respect to the Collateral without the signature of such Grantor in such form and in such offices as the Collateral Agent reasonably determines appropriate to perfect the security interests of the Collateral Agent under this Agreement. A photographic or other reproduction of this Agreement shall be sufficient as a financing statement or other filing or recording document or instrument for filing or recording in any jurisdiction.
Authority to File Financing Statements. Mortgagor hereby authorizes Mortgagee to file, in any filing or recording offices, one or more financing statements (including a copy of this Mortgage) and any renewal or continuation statements thereof, describing the Collateral as Mortgagee deems appropriate (including any such financing statement, renewal or continuation statement that describes the Collateral as “all assets” or “all personal property” of Mortgagor).
Authority to File Financing Statements. Each of the undersigned, hereby authorizes the Administrative Agent to file financing or continuation statements, and amendments thereto, in all jurisdictions and with all filing offices as the Administrative Agent may reasonably determine are necessary or advisable to perfect the security interest granted or to be granted to the Administrative Agent under the applicable Security Agreement or any other Loan Document.
