Authority to Transfer. Each Stockholder has full and unrestricted legal right, power and authority to enter into this Agreement, and to sell, assign, transfer, and deliver to Concierge valid, lawful and marketable title to his, her or its Shares to be sold, assigned and transferred by said Stockholder pursuant to this Agreement. Each Stockholder represents that neither the execution and delivery of this Agreement or any other agreements contemplated hereby nor the consummation of the transactions contemplated hereby will conflict with or result in any violation of, or result in default or loss of a benefit under, or permit the acceleration of any obligation under, any judgment, order, decree, mortgage, contract, agreement, deed of trust, indenture, lease or other instrument or any federal, state or local statute, law, ordinance, rule, or regulation applicable to said Stockholder.
Authority to Transfer. Seller has the right, power, legal capacity and authority to enter into this Agreement, to perform its obligations hereunder and to consummate the transactions contemplated hereby, and no approvals, authorizations or consents of any person other than Seller are necessary in connection with Seller's execution, performance and delivery of this Agreement. This Agreement constitutes the legal, valid and binding obligation of Seller, enforceable against Seller in accordance with its terms, except as enforcement may be limited by bankruptcy, insolvency, reorganization, moratorium or similar laws or equitable principles relating to or limiting creditor's rights generally.
Authority to Transfer. The Seller represents and warrants that Seller has obtained all necessary corporate, third-party and regulatory clearances, approvals, authorization and consents and has full legal authority to execute, deliver, and perform this Warranty of Ownership and any related documents necessary for the transfer of Ownership Interests in the Subsidiaries to Buyer, and such transfer will be valid and enforceable upon execution of the required documents.

Upon a determination by the Community’s Appropriate Placement Committee or its successor, that the Resident is no longer capable of meeting the Conditions of Occupancy of the Residence, the Resident or the Resident's legal representative, or agent acting on the Resident's behalf, will be notified by the Community that arrangements will be made for the Resident's transfer to Nursing Care or Personal Care or other appropriate care facility.
