Common use of Authority to Vote Clause in Contracts

Authority to Vote. The Trust hereby confirms that, pursuant to the Declaration of Trust of the Trust, at any meeting of shareholders of the Trust or of any series of the Trust, the Agent is authorized to vote any Shares held in accounts serviced by the Agent and which are otherwise not represented in person or by proxy at the meeting, proportionately in accordance with the votes cast by holders of all Shares otherwise represented at the meeting in person or by proxy and held in accounts serviced by the Agent.

Authority to Vote. The Trust hereby confirms that, pursuant to the Declaration of Trust of the Trust, at any meeting of shareholders of the Trust or of any series of the Trust, the Agent is authorized to vote any Shares held in accounts serviced by as to which the Agent provides services hereunder, and which are otherwise not represented in person or by proxy at the meeting, proportionately in accordance with the votes cast by holders of all Shares otherwise represented at the meeting in person or by proxy and held in accounts serviced by as to which the AgentAgent provides services hereunder.
