Common use of Authority to Vote Clause in Contracts

Authority to Vote. The representative of a Party, or in his absence the alternate representative, shall be authorised to represent such Party with respect to any matter which is within the power of the Operating Committee and is properly brought before the Operating Committee. Each such representative shall have one vote on matters coming before the Operating Committee. Alternate representatives may attend Operating Committee meetings, but shall have no vote at such meetings except in the absence of the representative for whom they are the alternate. In addition to the representative and alternate representatives, each Party may also bring to any Operating Committee meetings such technical and other advisers as it may deem appropriate. The technical and other advisers shall be given the opportunity to present data and voice opinions on behalf of a Party, but may not vote.
