Authority; Validity of Agreement. Such Party has the requisite corporate or other power and authority to execute and deliver this Agreement and to perform its obligations hereunder. This Agreement has been duly executed and delivered by such Party, and, assuming due and valid authorization, execution and delivery hereof by the other Party hereto, this Agreement is a valid and binding obligation, enforceable against it in accordance with its terms.

The individual(s) executing this Agreement and the instruments referenced herein on behalf of such Party have the legal power, right and actual authority to perform its obligations hereunderbind such Party to the terms hereof and thereof. This Agreement has been duly authorized, executed and delivered by such Party and is the valid, binding and enforceable obligation of such Party, and, assuming due and valid authorization, execution and delivery hereof by the other Party hereto, this Agreement is a valid and binding obligation, enforceable against it in accordance with its terms.
