Common use of Authority Warranties Clause in Contracts

Authority Warranties. Without prejudice to any warranties or conditions either express or implied by any applicable Law, the Authority warrants and undertakes that as at the Commencement Date: 1.11.1.1 it has the requisite power and authority to enter into and exercise its rights and perform its obligations under this Contract which, when executed, will constitute valid and binding obligations on it in accordance with its terms; and 1.11.1.2 has taken all necessary action to authorise the execution and the performance of its obligations under this Contract.
