Common use of Authority’s Rights not Prejudiced Clause in Contracts

Authority’s Rights not Prejudiced. The parties acknowledge that nothing in the Senior Financing Agreements, this Agreement or any other agreement between any of them (including any giving by the Agent of a notice hereunder) will, except as between the Senior Lenders, the Agent and the Authority as expressly set out in this Agreement, affect the rights of the Authority under the Project Agreement (but an exercise by the Authority of those rights will not preclude a proper exercise by the Agent of its rights under this Agreement). For greater certainty and without limiting the generality of the foregoing, nothing in this Agreement will limit, and the Authority will be entitled at all times in accordance with the provisions thereof to exercise the Authority’s rights under Section 11.1(a) (Authority’s Step-in Rights) of the Project Agreement and the related exercise of its rights under Section 11.2 (Authority’s Rectification Rights) of the Project Agreement.

For greater certainty and without limiting the generality of the foregoing, nothing in this Agreement will limit, and the Authority will be entitled at all times in accordance with the provisions thereof to exercise the Authority’s rights under Section 11.1(a) ([Authority’s Step-in In Rights) ] of the Project Agreement and the related exercise of its rights under Section 11.2 ([Authority’s Rectification Rights) ] of the Project Agreement.

For greater certainty and without limiting the generality of the foregoing, nothing in this Agreement will limit, and the Authority will be entitled at all times in accordance with the provisions thereof to exercise the Authority’s rights under Section 11.1(a) (Authority’s Step-in Rights) of the Project Agreement and the related exercise of its rights under Section 11.2 (Authority’s Rectification Rights) of the Project Agreement.
