The adoption and performance of the Ordinance and the issuance of the Commercial Paper Notes and the Bank Note thereunder and the execution, delivery and performance of this Agreement and the Related Documents on the terms and conditions hereof and thereof have been duly authorized by all necessary action on the part of the City and will not violate or contravene any constitutional provisions or any existing law or regulation, or any order or decree of any Governmental Authority, or violate or cause a default under any ordinance previously adopted by the City, the JPMorgan Note Purchase Agreement or any indenture, contract or other agreement to which the City is a party or that is binding upon it or any of its property.
