Authorization; Amended and Restated Articles of Incorporation. The Company has authorized the issuance and sale pursuant to the terms and conditions hereof of up to thirteen million three hundred thirty-three thousand three hundred thirty-four (13,333,334) shares of its Series A Preferred Stock (the "Series A Preferred Shares"), having the rights, preferences, privileges and restrictions as set forth in the form of Amended and Restated Articles of Incorporation of the Company (the "Restated Articles") attached hereto as Exhibit B.

The Company has authorized the issuance and sale pursuant to the terms and conditions hereof of up to thirteen million three hundred thirty-three thousand three hundred thirty-four Two Million Seven Hundred Sixty One Thousand Two Hundred Ten (13,333,3342,761,210) shares of its Series A C Preferred Stock (the "Series A C Preferred Shares"), having the rights, preferences, privileges and restrictions as set forth in the form of Amended and Restated Articles of Incorporation of the Company (the "Restated Articles") attached hereto as Exhibit B.A.
