Common use of Authorization and Binding Effect Clause in Contracts

All requisite corporate action required to be taken by Seller or its shareholders to authorize the execution and delivery of this Agreement and the transactions contemplated hereby have been taken, and this Agreement constitutes a valid and binding agreement enforceable against Seller in accordance with the terms and subject to the conditions hereof.
