Common use of Authorization and Binding Effect Clause in Contracts

All requisite corporate action required to be taken by Buyer or its shareholders to authorize the execution and delivery of this Agreement and the transactions contemplated hereby have been taken, and this Agreement constitutes a valid and binding agreement enforceable against Buyer in accordance with the terms and subject to the conditions hereof.
