Authorization and Enforceability; Governmental Authorizations. The execution, delivery and performance by Rainbow of this Agreement and the consummation by Rainbow of the transactions contemplated hereby are within Rainbow’s powers and have been duly authorized and approved by all necessary action as required by Applicable Law and its constituent documents. This Agreement constitutes a valid and binding agreement of Rainbow, enforceable against it in accordance with its terms.
