Common use of Authorization and Enforceability of the Indenture Clause in Contracts

Authorization and Enforceability of the Indenture. The Indenture has been duly qualified under the Trust Indenture Act of 1939, as amended (the “Trust Indenture Act”), and as of the Delivery Date, the Indenture will be duly authorized, executed and delivered by the Partnership and will constitute a valid and legally binding agreement of the Partnership enforceable against the Partnership in accordance with its terms, except as enforceability may be limited by the Enforceability Exceptions (as defined in Section 1(cc) herein).

The Indenture has been duly qualified under the Trust Indenture Act of 1939, as amended (the “Trust Indenture Act”), and as of the Delivery Closing Date, the Indenture will be duly authorized, executed and delivered by the Partnership and will constitute a valid and legally binding agreement of the Partnership enforceable against the Partnership in accordance with its terms, except as enforceability may be limited by the Enforceability Exceptions (as defined in Section 1(cc1(bb) herein).
