The execution, delivery and performance by Xxxxxx Mac of this Commitment are within Xxxxxx Mac’s corporate power and have been duly authorized by all necessary corporate action on the part of Xxxxxx Mac (no action by its shareholders being required) and will not: (i) violate or contravene any law, regulation, judgment, injunction, order, decree or other instrument currently binding on Xxxxxx Mac; or (ii) violate, contravene or constitute a default under any provision of the Charter Act or of any agreement, contract, mortgage or other instrument currently binding on Xxxxxx Mac.
