Authorization Certificate. The Company shall have delivered to you a certificate dated the date of such Supplemental Closing certifying as to the resolutions attached thereto and other corporate proceedings relating to the authorization, execution and delivery of the Supplemental Notes, this Agreement or the Supplemental Note Purchase Agreement, as the case may be, and any Security Documents to which it is a party.
Authorization Certificate. Borrower shall have executed and delivered to Administrative Agent a certificate (the “Authorization Certificate”), in form and substance satisfactory to Administrative Agent, authorizing the execution, delivery and performance by Borrower of the Modification Papers.
Authorization Certificate. A certificate, dated the Closing Date, of the Seller certifying that all necessary actions have been taken by each Seller to approve and authorize this Agreement and the Ancillary Agreements to which each Seller is a party and the consummation by each Seller of the Contemplated Transactions (together with an incumbency and signature certificate regarding the officer or member signing on behalf of the Seller);
Authorization Certificate. The Underwriters shall have received a certificate of the Republic executed by a duly qualified senior official of the Republic substantially to the following effect:

A certificate signed by an authorized signatory of each Contributor certifying that : (a) Contributor is authorized to enter into and perform this Agreement; (b) the Certificate of Formation or Certificate of Incorporation of Contributor has been filed in the proper office and is in full force and effect; and (c) no consent of any other party is required for Contributor to enter into and perform this Agreement or, if it is, that such consent has been obtained and is attached to the certificate.

Authorization Certificate. Vanguard Permian shall have executed a certificate of a Responsible Officer satisfactory in form and substance to Administrative Agent authorizing the execution, delivery and performance of the Mortgages.
Authorization Certificate. Encore Energy shall have executed a certificate of a Responsible Officer satisfactory in form and substance to Administrative Agent authorizing the execution, delivery and performance of the Mortgages.
