Common use of Authorization Certificate Clause in Contracts

Authorization Certificate. A certificate, dated the Closing Date, of the Buyer certifying that all necessary actions have been taken by the Buyer to approve and authorize this Agreement and the Ancillary Agreements to which the Buyer is a party and the consummation by the Buyer of the Contemplated Transactions (together with an incumbency and signature certificate regarding the officer(s), partners or members signing on behalf of the Buyer);

Authorization Certificate. A certificate, dated the Closing Date, of the Buyer Seller certifying that all necessary actions have been taken by the Buyer each Seller to approve and authorize this Agreement and the Ancillary Agreements to which the Buyer each Seller is a party and the consummation by the Buyer each Seller of the Contemplated Transactions (together with an incumbency and signature certificate regarding the officer(s), partners officer or members member signing on behalf of the BuyerSeller);
