Common use of Authorization, Execution and Delivery Clause in Contracts

Authorization, Execution and Delivery. This Restated Lease has been duly authorized by all necessary action on the part of Landlord, has been duly executed and delivered by Landlord, constitutes the valid and binding agreement of Landlord and is enforceable in accordance with its terms except to the extent that enforcement hereof may be limited by (a) bankruptcy, reorganization, moratorium, fraudulent conveyance, or similar laws now or hereafter in effect relating to creditors' rights generally, and (b) general principles of equity (regardless of whether enforceability is considered in a proceeding at law or in equity).
