Authorization for the Weatxxxxxxx Xxxres. Weatxxxxxxx xxx taken, or will have taken prior to Closing, all necessary action to permit it to issue the Weatxxxxxxx Xxxres. The Weatxxxxxxx Xxxres issued pursuant to the terms of this Agreement will be validly issued, fully paid and nonassessable and not subject to preemptive rights. The Weatxxxxxxx Xxxres will be listed on the New York Stock Exchange.
