Common use of Authorization of Acquisition Clause in Contracts

Authorization of Acquisition. All action necessary to authorize the execution, delivery and performance of this Agreement, as well as the Related Agreements, and the consummation of the transactions contemplated hereby and thereby, shall have been duly and validly taken by the appropriate governing body of Buyer, GTI and its stockholders, as applicable, including for the avoidance of doubt, the approval of GTI's stockholders for the issuance of the GTI Shares to the extent required by the Rules of the NASDAQ Stock Market.

Authorization of Acquisition. All action necessary to authorize the execution, delivery and performance of this Agreement, as well as the Related Agreements, the issuance and receipt of the GTI Shares and the consummation of the transactions contemplated hereby and thereby, thereby shall have been duly and validly taken by the appropriate governing body of Buyer, GTI Seller and its GTI's stockholders, as applicable, including for the avoidance of doubt, the approval of GTI's stockholders for the issuance of the GTI Shares to the extent required by the Rules of the NASDAQ Stock Market.
