Common use of Authorization of Agreement and Enforceability Clause in Contracts

Authorization of Agreement and Enforceability. Purchaser has full corporate power and authority to execute and deliver this Agreement and to perform its obligations hereunder. This Agreement has been duly and validly authorized, executed and delivered by Purchaser and (assuming the valid execution and delivery of the Agreement by Seller and OTC) constitutes a legal, valid and binding obligation of Purchaser, enforceable against Purchaser in accordance with its terms.

Authorization of Agreement and Enforceability. Purchaser has full corporate power and authority to execute and deliver this Agreement and each of the Operative Documents to be executed by it ("Purchaser Agreements") and to perform its obligations hereunderhereunder and thereunder. This Agreement has been duly and validly authorized, executed and delivered by Purchaser and (assuming the valid execution and delivery of the Agreement by Seller and OTCSeller) constitutes a legal, valid and binding obligation of Purchaser, enforceable against Purchaser in accordance with its terms.

This Agreement has and the Escrow Agreement have been duly and validly authorizedvalidly, executed and delivered by Purchaser and (assuming the valid execution and delivery of the Agreement by Seller and OTCSellers and, in the case of the Escrow Agreement, by the Escrow Agent) constitutes a the legal, valid and binding obligation of Purchaser, enforceable against Purchaser in accordance with its terms.
