Common use of Authorization of Borrowing Etc Clause in Contracts

Authorization of Borrowing Etc. Its execution, delivery and performance of this Agreement and the other Loan Documents to which it is a party, (a) have been duly authorized by all requisite corporate action, (b) will not violate (i) any provision of law applicable to it, any applicable governmental rule or regulation, or its respective charter or by-laws, or (ii) any order of any court or other agency of government binding on it, or any indenture, agreement or other instrument to which it is a party or by which it or any of its property is bound, and (c) will not be in conflict with, result in a breach of or constitute (with due notice and/or lapse of time) a default under, any such indenture, agreement or other instrument, or result in the creation or imposition of any Lien upon any of its property or assets.
