Common use of Authorization of Forward Sale Agreements Clause in Contracts

Authorization of Forward Sale Agreements. The Forward Sale Agreement and each Additional Forward Agreement (if any), as applicable, has been duly authorized, executed and delivered by the Forward Purchaser and constitutes a valid and binding agreement of the Forward Purchaser, enforceable against the Forward Purchaser in accordance with its terms, except to the extent that enforceability thereof may be limited by the Enforceability Exceptions.

Authorization of Forward Sale Agreements. The Forward Sale Agreement Agreements and each Additional Forward Agreement Sale Agreements (if any), as applicable, has been duly authorized, executed and delivered by the relevant Forward Purchaser and constitutes a valid and binding agreement of the such affiliated Forward Purchaser, enforceable against the such Forward Purchaser in accordance with its terms, except to the extent that enforceability thereof may be limited by the Enforceability Exceptions.
