Common use of Authorization of Power of Attorney Clause in Contracts

Authorization of Power of Attorney. RESOLVED, that Gil Van Bokkelen, Xxxxxxx Xxxxxxx, Xx. and Xxxxx X. Xxxxxxxx be, and each of them hereby is, appointed as the attorney-in-fact or attorneys-in-fact of the Company, and any officer or director of the Company is hereby authorized to execute a power of attorney appointing such persons, and each of them, his true and lawful attorney, with full power of substitution or resubstitution, to execute and file with the Commission under the Securities Act the Registration Statement, with any and all amendments, supplements and exhibits thereto, including pre-effective and post-effective amendments or supplements or any additional registration statement filed pursuant to Rule 462 promulgated under the Securities Act, with full power and authority to do and perform any and all acts and things whatsoever that any of said attorneys or their substitutes may deem necessary, advisable or appropriate, in his or their sole discretion, with any such act or thing being hereby ratified and approved in all respects without any further act or deed whatsoever; and RESOLVED FURTHER, that the form of Power of Attorney, copies of which have previously been distributed to the Board, is approved and ratified, and the directors and officers of the Company are, and each of them hereby is, authorized to execute and deliver the same in accordance with the preceding resolutions.
