Common use of Authorization of Sale of the Shares Clause in Contracts

Authorization of Sale of the Shares. Subject to the terms and conditions of this Agreement, the Company has authorized the issuance and sale of up to Three Million (3,000,000) shares (the “Shares”) of Common Stock, of which Shares, One Million (1,000,000) remain available for purchase.

Authorization of Sale of the Shares. Subject to the terms and conditions of this Agreement, the Company has authorized the issuance and sale of up to Three Million (3,000,000) 4,400,000 shares (the “"Shares”") of common stock, par value $0.10 per share (the "Common Stock"), of which Shares, One Million the Company in a private placement to Purchasers (1,000,000) remain available for purchaseas defined in Section 2).

Subject to the terms and conditions of this Agreement, the Company has authorized the issuance and sale of up to Three Million (3,000,000) an aggregate of 3,730,000 shares (the “"Offered Shares”") of common stock, $.01 par value, of the Company (the "Common Stock"), of which Shares, One Million pursuant to the Offering Memorandum (1,000,000) remain available for purchaseas defined below).

Subject to the terms and conditions of this Agreement, the Company has authorized the issuance and sale of up to Three Million (3,000,000) 3,485,000 shares (the “"Company Shares”") of common stock, par value $.001 per share (the "Common Stock"), of which the Company and the Selling Stockholder has authorized the sale of up to an aggregate of 600,000 shares (the "Selling Stockholder Shares, One Million (1,000,000") remain available for purchaseof the Company's Common Stock. The Company Shares and the Selling Stockholder Shares are referred to herein collectively as the "Shares."
