Authorization of the Administration Agreement. The Administration Agreement has been duly authorized by the Guarantor and the Company and, at the Closing Time, will have been duly executed and delivered by the Guarantor and the Company and will constitute a valid and binding obligation of the Guarantor and the Company, enforceable against the Guarantor and the Company in accordance with its terms, except to the extent that enforcement thereof may be limited by the Bankruptcy Exceptions.
