Common use of Authorization of the Common Stock Clause in Contracts

Authorization of the Common Stock. The Placement Shares, when issued and delivered, will be duly authorized for issuance and sale pursuant to this Agreement and, when issued and delivered by the Company against payment therefor pursuant to this Agreement, will be duly authorized, validly issued, fully paid and nonassessable.

Authorization of the Common Stock. The Placement Shares, when Shares to be issued and delivered, will be sold by the Company hereunder have been duly authorized for issuance and sale pursuant to this Agreement by the Company and, when issued and delivered by the Company against payment therefor pursuant to this Agreementand paid for as provided herein, will be duly authorized, and validly issued, will be fully paid and nonassessablenonassessable and will conform to the descriptions thereof in the Registration Statement and the Prospectus; and the issuance of the Placement Shares is not subject to any preemptive or similar rights that have not been duly waived or satisfied.
