Common use of Authorization of the Contribution Agreement Clause in Contracts

Authorization of the Contribution Agreement. On the Closing Date, the Contribution Agreement will have been duly authorized and validly executed and delivered by the Partnership Entities party thereto and will constitute a valid and binding agreement, enforceable against the Partnership Entities party thereto in accordance with its terms; provided that the enforceability thereof may be limited by the Enforceability Exceptions. Prior to the execution and delivery hereof by the Purchaser, the Partnership has provided the Purchaser with a draft of the Contribution Agreement (other than exhibits and schedules, except to the extent they will be filed with the Commission within four Business Days of the date hereof).
