Common use of Authorization of the Stock Clause in Contracts

Authorization of the Stock. The Corporation has authorized the issuance and sale to the Purchaser of 250,000 shares of the Corporation's common stock (the "Stock") as a payment of a portion of the Purchase Price pursuant to the Agreement for Purchase and Sale dated September 10, 2004 between the parties hereto (the "Purchase Transaction").

Authorization of the Stock. The Corporation has authorized the issuance and sale to the Purchaser of 250,000 125,400 shares of the Corporation's its common stock (the "Stock") to Purchaser as a payment of a portion of the Purchase Price pursuant to the Agreement for Purchase and Sale dated September 10, 2004 between the parties hereto (the "Purchase Transaction")herein provided.

Authorization of the Stock. The Corporation has authorized the issuance and sale to the Purchaser of 250,000 16,600 shares of the Corporation's its common stock (the "Stock") to purchaser as a payment of a portion of the Purchase Price pursuant to the Agreement for Purchase and Sale dated September 10, 2004 between the parties hereto (the "Purchase Transaction")herein provided.

Authorization of the Stock. The Corporation has authorized the issuance and sale to the Purchaser of 250,000 157,700 shares of the Corporation's its common stock (the "Stock") to Purchaser as a payment of a portion of the Purchase Price pursuant to the Agreement for Purchase and Sale dated September 10, 2004 between the parties hereto (the "Purchase Transaction")herein provided.

Authorization of the Stock. The Corporation has authorized the issuance and sale to the Purchaser of 250,000 2,400 shares of the Corporation's its common stock (the "Stock") to Purchaser as a payment herein provided. The issuance of the Stock is subject to approval of a portion of listing application by the Purchase Price pursuant to the Agreement for Purchase and Sale dated September 10, 2004 between the parties hereto (the "Purchase Transaction")American Stock Exchange.

Authorization of the Stock. The Corporation has authorized the issuance and sale to the Purchaser of 250,000 300,300 shares of the Corporation's its common stock (the "Stock") to Purchaser as a payment of a portion of the Purchase Price pursuant to the Agreement for Purchase and Sale dated September 10, 2004 between the parties hereto (the "Purchase Transaction")herein provided.
