Authorization of Third Parties to Deliver Information and Discuss Affairs. The Borrower hereby authorizes and directs each Person whose preparation or delivery to the Agent or the Banks of any opinion, report or other Information is a condition or covenant under the Loan Documents (including under Article 4 or this Article 7) to so prepare or deliver such Information for the benefit of the Agent and the Banks. The Borrower further authorizes and directs all Persons (a) to furnish to the Agent and the Banks any Information regarding the matters referred to inSection 7.01(g) that the Agent or any Bank may request, (b) to permit representatives of the Agent or any Bank to make the visits, inspections, reviews and extracts of premises, property, books and records within their possession and control contemplated by Section 7.03(c) and (c) to discuss with representatives of the Agent or any Bank the matters referred to in Section 7.03(c). The Borrower agrees to promptly execute and deliver from time to time such further authorizations to effect the purposes of this Section 7.04 as the Agent or any Bank may reasonably request.

The Borrower further authorizes and directs all Persons (ai) to furnish to the Agent Banks and the Banks Issuing Bank any Information regarding the matters referred to inSection 7.01(gin Section 7.01(e) that the Agent or any Bank may request, (bii) to permit representatives of the Agent or any Bank to make the visits, inspections, reviews visits and extracts inspections of premises, property, books and records within their possession and control contemplated by Section 7.03(c) and (ciii) to discuss with representatives of the Agent or any Bank the matters referred to in Section 7.03(c). The Borrower agrees to promptly execute and deliver from time to time such further authorizations to effect the purposes of this Section 7.04 as the Agent Agent, the Issuing Bank or any Bank may reasonably request.

The Borrower further authorizes and directs all Persons (a) to furnish to the Agent and the Banks any Information regarding the matters referred to inSection 7.01(gin Section 5.01(f) that the Agent or any Bank may request, (b) to permit representatives of the Agent or any Bank to make the visits, inspections, reviews and extracts of premises, property, books and records within their possession and control contemplated by Section 7.03(c5.03(c) and (c) to discuss with representatives of the Agent or any Bank the matters referred to in Section 7.03(c5.03(c). The Borrower agrees to promptly execute and deliver from time to time such further authorizations to effect the purposes of this Section 7.04 5.04 as the Agent or any Bank may reasonably request.
