Common use of Authorization of Transaction; Enforceability Clause in Contracts

Authorization of Transaction; Enforceability. The Company has full corporate power and authority to execute and deliver this Agreement and to perform its obligations hereunder, and the execution, delivery and performance of this Agreement, and the consummation of the transactions contemplated hereby, have been duly authorized by the Company. This Agreement constitutes the valid and legally binding obligation of the Company, enforceable in accordance with its terms and conditions.

This Agreement constitutes and the Escrow Agreement constitute the valid and legally binding obligation of the CompanyCompany and the Stockholders, enforceable against the Company and the Stockholders in accordance with its terms and conditionstheir respective terms.

This Agreement constitutes the valid and legally binding obligation of the Company, enforceable against the Company in accordance with its terms and conditionsterms.
