Common use of Authorization of Transactions Clause in Contracts

Authorization of Transactions. All corporate action necessary by Seller to authorize the execution, delivery and performance of this Agreement and the consummation of the transactions contemplated hereby shall have been duly and validly taken.

All corporate action necessary by Seller Purchaser to authorize the execution, delivery and performance of this Agreement and the consummation of the transactions contemplated hereby shall have been duly and validly taken, including, but not limited to, the approval and authorization of the execution, delivery and performance of this Agreement and the Employment Agreement by the Board of Directors of the Purchaser and of Mikes.
