Common use of Authorization; Power and Authority Clause in Contracts

Authorization; Power and Authority. The execution, delivery and performance by the Company of this Agreement has been duly authorized, and does not (i) conflict with the organizational documents of the Company or its Subsidiaries, (ii) contravene, conflict with, constitute a default under or violate any material Requirement of Law applicable thereto, (iii) contravene, conflict or violate any applicable order, writ, judgment, injunction, decree, determination or award of any Governmental Authority by which the Company and its Subsidiaries, or any of their property or assets may be bound or affected, (iv) require any action by, filing, registration, or qualification with, or Governmental Approval from, any Governmental Authority (except such Governmental Approvals which have already been obtained and are in full force and effect), or (v) constitute an event of default or material breach under any Material Agreement to which the Company or any of its Subsidiaries, or any of their respective properties, is bound.

The execution, delivery and performance by Maker of the Company of this Agreement has Loan Documents to which it is a party have been duly authorized, and does do not (i) conflict with the any of Maker’s organizational documents of the Company or its Subsidiariesdocuments, (ii) contravene, conflict with, constitute a default under or violate any material Requirement of Law applicable theretoLaw, (iii) contravene, conflict or violate any applicable order, writ, judgment, injunction, decree, determination or award of any Governmental Authority by which the Company and its Subsidiaries, Maker or any of their its property or assets may be bound or affected, (iv) require any action by, filing, registration, or qualification with, or Governmental Approval from, any Governmental Authority (except such Governmental Approvals which have already been obtained and are in full force and effect), ) or (v) constitute an event of default or material breach under any Material Agreement to material agreement by which the Company or any of its Subsidiaries, or any of their respective properties, Maker is bound.
