Common use of Authorization to File Clause in Contracts

Authorization to File. The Issuer authorizes the Administrator and the Indenture Trustee to file financing and continuation statements, and amendments to the statements, in the jurisdictions and with the filing offices as the Administrator or the Indenture Trustee may determine necessary or advisable to perfect the Indenture Trustee’s interest in the Collateral. The financing and continuation statements may describe the Collateral as the Administrator or the Indenture Trustee may reasonably determine to perfect the Indenture Trustee’s interest in the Collateral. The Administrator or the Indenture Trustee will promptly deliver to the Issuer file-stamped copies of, or filing receipts for, any financing statement, continuation statement and amendment to a previously filed financing statement.
