Authorization to Owner Trust. The Owner Participant agrees that ---------------------------- on the Closing Date the receipt by the Owner Trust of an instruction from each Participant pursuant to Section 2.6 making available the amount delivered by such Participant to the Owner Trust shall constitute, without further act, authorization and direction by such Participant to the Owner Trust to take the actions contemplated to be taken by the Owner Trust on the Closing Date in the Operative Documents, including, without limitation, the execution and delivery of all other documents and instruments contemplated to be executed and delivered by the Owner Trust on or prior to the Closing Date in the Operative Documents.
