Authorization to Practice Clause Samples

Authorization to Practice. VideoStar authorizes Television Technology to practice any invention disclosed and claimed in any of the VideoStar Patents on a non-exclusive basis. This authorization from VideoStar under the VideoStar patents includes two components: (1) a non-transferrable, non-sublicensable and non-exclusive license under the Licensed Patents as to any Infringing Act performed by Television Technology for which Television Technology has no right to claim indemnification from a third party and (2) a covenant not to ▇▇▇ Television Technology or any of its customers for any Infringing Act performed by Television Technology or any of its customers for which Television Technology has the right to claim indemnification from a third party or for any Infringing Act performed by Television Technology that is otherwise not covered by the license under subpart (1) of this Section.
