Authorization to Release Guaranties. The Administrative Agent is hereby irrevocably authorized by each of the Lenders, each L/C Issuer, and their Affiliates to release any Subsidiary from its obligations as a Guarantor, and shall release such Subsidiary from such obligations, if such Person ceases to be a Subsidiary as a result of a transaction permitted under the Credit Documents. Upon the Administrative Agent’s request, the Required Lenders will confirm in writing the Administrative Agent’s authority to release any Person from its obligations as a Guarantor under the Credit Documents.
