Common use of Authorization to Release Liens Clause in Contracts

Authorization to Release Liens. The Administrative Agent is hereby irrevocably authorized by each of the Lenders to release any Lien covering any Property of the Borrower or any of its Subsidiaries that is the subject of a Disposition which is permitted by this Agreement or which has been consented to in accordance with Section 10.1.

The Administrative Agent is hereby irrevocably authorized by each of the Lenders to release any Lien covering any Property of either of the Borrower Borrowers or any of its their respective Subsidiaries that is the subject of a Disposition which is permitted by this Agreement or which has been consented to in accordance with Section 10.1.

The Administrative Agent is hereby irrevocably authorized by each of the Lenders to release any Lien covering any Property of the Borrower or any of its Subsidiaries that is the subject of a Disposition which is permitted by this Agreement or which has been consented to in accordance with Section 10.19.1.

In addition, the Administrative Agent is hereby authorized by each of the Lenders to release, and to direct the applicable Trustee to release, the Liens on the Collateral on the Collateral Release Date.

The Upon the consummation of an Asset Sale or other disposition of property permitted hereunder, the Administrative Agent is hereby irrevocably authorized by each of the Lenders to release any Lien covering any Property of the Borrower or any of its Subsidiaries that is the subject of a Disposition which is Administrative Agent in good faith believes to be permitted by this Agreement or which has to have been consented to in accordance with Section 10.110.1 or to be owned by any Subsidiary of the Borrower the Capital Stock of which was transferred, in any such Asset Sale, to a Person who is not an Affiliate of the Borrower.

The Administrative Agent is hereby irrevocably authorized by each of the Lenders to to, and shall, release any Lien created or arising pursuant to any Security Document covering any Property Collateral of the Borrower or any of its Subsidiaries that is the subject of a Disposition an Asset Sale or any sale of equipment which is permitted by this Agreement or which has been consented to in accordance with Section subsection 10.1."

The Administrative Agent is hereby irrevocably authorized by each of the Lenders to release any Lien covering any Property of Holdings, the Borrower Company or any of its Subsidiaries that is the subject of a Disposition which is permitted by this Agreement or which has been consented to in accordance with Section 10.1.

In addition, the Administrative Agent is hereby authorized by each of the Lenders to release, and to direct the Trustee to release, the Liens on the Collateral on the Collateral Release Date.

The Administrative Agent is hereby irrevocably authorized by each of the Lenders and the Administrative Agent (a) to release any Lien covering any Property of the Borrower or any of its Subsidiaries Collateral that is sold, transferred, or otherwise disposed of in accordance with the subject terms and conditions of this Agreement (including a Disposition which is sale, transfer, or disposition permitted by this Agreement the terms of Section 4.5 or Section 8.10 hereof or which has otherwise been consented to in accordance with Section 10.113.12 hereof), and (b) release Liens on the Collateral following termination or expiration of the Commitments and payment in full in cash of the Obligations.

The Notwithstanding anything to the contrary contained herein or in any other Loan Document, the Administrative Agent is hereby irrevocably authorized by each of the Lenders (without requirement of notice to or consent of any Lender except as expressly required by Section 10.1) to take any action reasonably requested by the Borrowers to release any Lien covering any Property of any of the Borrower Borrowers or any of its their Subsidiaries that is the subject of a Disposition which is permitted by this Agreement or which has been consented to in accordance with Section 10.1.

Authorization to Release Liens. The Administrative Agent is hereby irrevocably authorized by each of the Lenders to release any Lien covering any Property of the Borrower or any of its Subsidiaries that is the subject of a Disposition which is permitted by this Agreement or which has been consented to in accordance with Section 10.110.1 and to release any obligations under any Loan Document of any Person being Disposed of in such Disposition or which has been consented to in accordance with Section 10.1 or which is converted to a special purpose entity pursuant to the Second Securitization Arrangements so long as the requirements of Section 2.7(d) are complied with in connection therewith.

The Administrative Agent is hereby irrevocably authorized by each of the Lenders to release any Lien covering any Property property of the Borrower or any of its Subsidiaries Precision Group Members that is the subject of a Disposition which is permitted by this Agreement or which has been consented to in accordance with Section 10.1.

The Administrative Agent is hereby irrevocably authorized by each of the Lenders to release release, or direct the Trustee to release, any Lien created by any Security Document covering any Property of the Borrower Company or any of its Subsidiaries that is the subject of a Disposition which is permitted by this Agreement or which has been consented to in accordance with Section 10.114.01. In addition, the Administrative Agent is hereby authorized by each of the Lenders to release, and to direct the Trustee to release, the Liens on the Collateral on the Collateral Release Date.

Authorization to Release Liens. The Administrative Agent is hereby irrevocably authorized by each of the Lenders to release any Lien covering any Property of the Borrower or any of its Subsidiaries that is the subject of a Disposition which is the Administrative Agent in good faith believes to be permitted by this Agreement or which has to have been consented to in accordance with Section 10.110.1 or to be owned by any Subsidiary of the Borrower the Capital Stock of which was transferred, in any such Disposition, to a Person who is not an Affiliate of the Borrower.

Authorization to Release Liens. The Administrative Agent is hereby irrevocably authorized by each of the Lenders to release any Lien covering any Property of the Parent Borrower or any of its Subsidiaries that is the subject of a Disposition which is permitted by this Agreement or Agreement, which has been consented to in accordance with Section 10.110.1 or in accordance with Section 10.13.

Authorization to Release Liens. The Administrative Agent is hereby irrevocably authorized by each of the Lenders to release any Lien covering any Property of the Borrower or any of its Subsidiaries that is the subject of a Disposition which is permitted by this Agreement or which has been consented to in accordance with Section 10.113.1.

Authorization to Release Liens. The Notwithstanding anything to the contrary contained herein or in any other Credit Document, the Administrative Agent is hereby irrevocably authorized by each of the Lenders (without requirement of notice to release or consent of any Lien covering Lender except as expressly required by Section 9.1) to take any Property of action requested by the Borrower having the effect of releasing any Collateral to the extent necessary to permit consummation of any transaction not prohibited by any Credit Document or any of its Subsidiaries that is the subject of a Disposition which is permitted by this Agreement or which has been consented to in accordance with Section 10.19.1.

Authorization to Release Liens. The Notwithstanding anything to the contrary contained herein or in any other Credit Document, the Administrative Agent is hereby irrevocably authorized by each of the Lenders (without requirement of notice to release or consent of any Lien covering Lender except as expressly required by Section 10.1) to take any Property of action requested by the Borrower having the effect of releasing any Collateral to the extent necessary to permit consummation of any transaction not prohibited by any Credit Document or any of its Subsidiaries that is the subject of a Disposition which is permitted by this Agreement or which has been consented to in accordance with Section 10.19.1.

Authorization to Release Liens. The Administrative Agent is hereby irrevocably authorized by each of the Lenders to release any Lien covering any Property of the Borrower Company or any of its Subsidiaries that is the subject of a Disposition which is permitted by this Agreement or which has been consented to in accordance with Section 10.1.

Authorization to Release Liens. The Administrative Agent is hereby irrevocably authorized by each of the Lenders Banks to release (a) any Lien liens and security interests covering any Property of the Borrower Borrowers or any of its their Subsidiaries that is the subject of a Disposition sale or other disposition which is permitted by this Agreement or which has been consented to in accordance with Section 10.112.1, and (b) its security interest in 15% of the total issued and outstanding shares of capital stock of Choong Ang pledged to it and sold to Hungnong."
