Common use of Authorizations and Consents of Governmental Authorities Clause in Contracts

Authorizations and Consents of Governmental Authorities. Each of Parent and the Issuer will endeavor, and cause Level 3 LLC to endeavor, in good faith using commercially reasonable efforts to cause Level 3 LLC to obtain all material (as determined in good faith by the General Counsel of Parent) authorizations and consents of Federal and State Governmental Authorities required in order for it to Guarantee the Securities at the earliest practicable date and to enter into a Guarantee of the Securities promptly thereafter. For purposes of this covenant, the requirement that Parent, the Issuer or Xxxxx 0 LLC use “commercially reasonable efforts” shall not be deemed to require it to make material payments in excess of normal fees and costs to or at the direction of Governmental Authorities or to change the manner in which it conducts its business in any respect that the management of Parent shall determine in good faith to be adverse or materially burdensome. Upon the reasonable request of Parent or the Issuer, the Trustee will cooperate with Parent and the Issuer as necessary to enable them to comply with their obligations under this covenant.
