Authorizations for the Mining Operations. All material authorizations (including those required under Environmental Laws), concessions, mining rights, water rights, easements, leases, surface rights, rights of way and other property rights and other rights necessary for the Mining Operations as of the relevant date this representation is made and necessary for maintaining and preserving the rights of the relevant Obligors and each Specified Entity therein are in full force and effect and are sufficient to permit the Mining Operations in all material respects as contemplated by the Financial Model, in each case other than those which: (i) are not now necessary and which are expected to be obtained in the ordinary course of business by the time they are necessary (those that are in existence as at the date hereof with respect to presently planned future operations are listed in the relevant Disclosure Certificate); or (ii) the failure to have or to obtain in due course would not reasonably be expected to result in a Material Adverse Effect, and (iii) no Obligor nor any Specified Entity has taken any action or omitted to take any action, and to, the Knowledge of the Borrower, no other Person has taken any action or omitted to take any action, which could result in the forfeiture, loss, adverse change, non-renewal or non- issuance of any such authorization, concession, mining right, water right, easement lease, surface right, right-of-way, property right or other right which has or would reasonably be expected to have a Material Adverse Effect.
Authorizations for the Mining Operations. All Permits necessary for the Mining Operations (including those required under Environmental and Social Laws), as of the relevant date this representation is made and necessary for maintaining and preserving the rights of the relevant Subject Entities therein are in full force and effect and are sufficient to permit such Mining Operations, in each case, in all material respects as contemplated by the Mine Plan, in each case other than those which are not now necessary and which are expected to be obtained in the ordinary course of business by the time they are necessary. No Subject Entity has taken any action or omitted to take any action, and to the Knowledge of the Borrower, no other Person has taken any action or omitted to take any action, which could result in the forfeiture, loss, adverse change, non-renewal or non-issuance of any Permit.

No Obligor has taken any action or omitted to take any action, and to, the Knowledge of the Borrower, no other Person has taken any action or omitted to take any action, which could result in the forfeiture, loss, adverse change, non-renewal or non-issuance of any such authorization, mining right, water right, easement, surface right, right-of-way, property right or other right which has or would reasonably be expected to have a Material Adverse Effect.
