Authorizations Obtained. The person executing this Agreement on behalf of the City represents that he or she has the requisite legal authority to enter into this Agreement on behalf of the City and to bind the City to the terms of this Agreement. The person executing this Agreement on behalf of the County represents that he or she has the requisite legal authority to enter into this Agreement on behalf of the County and to bind the County to the terms of this Agreement.
Authorizations Obtained. The person executing this Agreement on behalf of the Housing Authority represents that he or she has the requisite legal authority to enter into this Agreement on behalf of the Housing Authority and to bind the Housing Authority to the terms of this Agreement. The person executing this Agreement on behalf of the County represents that he or she has the requisite legal authority to enter into this Agreement on behalf of the County and to bind the County to the terms of this Agreement.
Authorizations Obtained. All approvals, licenses, authorizations, consents, filings and registrations of or with all Governmental Authorities and other Persons which shall be necessary or which in the reasonable judgment of the Agent Bank or counsel to the Agent Bank shall be desirable in connection with the execution, delivery and performance of this Agreement, the other Loan Documents, the Merger Documents and the transactions contemplated hereby and thereby, shall have been obtained, shall be in form and substance reasonably satisfactory to the Agent Bank and counsel to the Agent Bank, shall have been delivered to the Agent Bank and shall be in full force and effect at and as of such Borrowing Date.

The person executing this Agreement on behalf of Mirant represents that her or she has the requisite legal authority to enter into this Agreement on behalf of Mirant and to bind Mirant to the Terms of this Agreement. The person executing this Agreement on behalf of the County represents that he or she has the requisite legal authority to enter into this Agreement on behalf of the County and to bind the County to the terms of this Agreement.
