Common use of Authorizations of Borrower Clause in Contracts

Authorizations of Borrower. The Administrative Agent shall have received from the Borrower, appropriate evidence of the authorization of such Borrower approving the execution, delivery and performance of the Loan Documents required of such Borrower, duly adopted by such Borrower, as required by Applicable Law or agreement, and accompanied by a certificate of an authorized Person stating that such authorizations are true and correct, have not been altered or repealed and are in full force and effect;
