Authorizations or Consents Clause Samples

Authorizations or Consents. Other than those that shall have been obtained or made on or prior to the Closing Date and those that must be made after the Closing Date to comply with Section 2.5 of this Agreement, no authorization or approval or other action by, and no notice to or filing with, any Governmental Authority will be required to be obtained or made by AAF in connection with its due execution and delivery of this Agreement and its consummation of the transactions contemplated hereby.

Authorizations or Consents. Other than those which shall have been obtained or made on or prior to the Closing Date, no authorization or approval or other action by, and no notice to or filing with, any Governmental Authority will be required to be obtained or made by AIM Equity in connection with the due execution and delivery by AIM Equity of this Agreement and the consummation by AIM Equity of the transactions contemplated hereby.
