Authorized Agent means any person or entity, including an investment manager or adviser, named by the Account Owner in accordance with procedures acceptable to the Custodian and authorized by the terms of this Agreement and such appointment to give Instructions to the Custodian, or to vote or otherwise manage the investment of any asset of the Custodial Account and to receive payment of his or its fees from the Custodial Account assets.
