Common use of Authorized and Issued Capital Clause in Contracts

Authorized and Issued Capital. The authorized capital of the Purchaser consists of an unlimited number of common shares and an unlimited number of preferred shares, of which (i) at the date of this Agreement, 24,610,042 common shares (and no more) have been duly issued and are outstanding as fully paid and non-assessable and no preferred shares are outstanding, and (ii) at the Closing Time, 24,610,042 common shares (and no more) shall have been duly issued and shall be outstanding as fully paid and non-assessable.

Authorized and Issued Capital. The authorized capital of the Purchaser consists of an unlimited number of common shares and an unlimited number of preferred shares, of which (i) as at the close of trading on the last Business Day immediately preceding the date of this Agreement, 24,610,042 232,382,569 common shares (and no more) have been duly are issued and are outstanding as fully paid and non-assessable and no preferred shares are outstanding, and (ii) at the Closing Time, 24,610,042 common shares (and no more) shall have been duly issued and shall be outstanding as fully paid and non-assessable.

Authorized and Issued Capital. The authorized capital of the Purchaser consists of an unlimited number of common shares shares, an unlimited number of Class "A" Shares and an unlimited number of preferred shares, issuable in series, of which (i) which, as at the date hereof and prior to the issuance of this Agreementthe Consideration Shares, 24,610,042 90,000,000 common shares (and no more) have been duly are issued and are outstanding as fully paid and non-assessable and no preferred shares are outstanding, and (ii) at of the Closing Time, 24,610,042 common shares (and no more) shall have been duly issued and shall be outstanding as fully paid and non-assessablePurchaser.

The authorized capital of the Purchaser consists of an unlimited number of common shares and an unlimited number of preferred shares, of which (i) at the date of this Agreement, 24,610,042 common shares (and no more) have been duly issued and 33,908,366 are outstanding as fully paid and non-assessable and no preferred shares are outstanding, and (ii) at as of the Closing Time, 24,610,042 common shares (and no more) shall have been duly issued and shall be outstanding as fully paid and non-assessable.date hereof; and

Authorized and Issued Capital. The authorized capital of the Purchaser consists of an unlimited number of common shares and an unlimited number of preferred shares, of which (i) at the date of this Agreement, 24,610,042 common shares (and no more) have been duly issued and 101,331,116 are outstanding as fully paid and non-assessable and no preferred shares are outstanding, and (ii) at as of the Closing Time, 24,610,042 common shares (and no more) shall have been duly issued and shall be outstanding as fully paid and non-assessable.date hereof; and

Authorized and Issued Capital. The authorized capital of the Purchaser consists of an unlimited number of common shares and an unlimited number of preferred shares, of which (i) at the date of this Agreement, 24,610,042 common shares (and no more) 136,318,288 Purchaser Shares have been duly validly issued and are outstanding as fully paid and non-assessable and no preferred shares are outstanding, and (ii) at the Closing Time, 24,610,042 common shares (and no more) shall have been duly issued and shall be outstanding as fully paid and non-non- assessable.

Authorized and Issued Capital. The authorized capital of the Purchaser consists of an unlimited number of common shares without par value and an unlimited number of 1,600,000 preferred shares, shares of which (i) at the date of this Agreement, 24,610,042 21,565,573 common shares and 1,515,000 preferred shares (and no more) have been duly issued and are outstanding as fully paid and non-assessable and no preferred shares are outstanding, and (ii) at the Closing Time, 24,610,042 common shares (and no more) shall have been duly issued and shall be outstanding as fully paid and non-assessableshares.

As at the date of this Agreement, 24,610,042 common shares (and no more) Agreement 211,549,269 Common Shares have been duly issued and are outstanding as fully paid and non-assessable and no preferred shares are outstanding, and (ii) at the Closing Time, 24,610,042 common shares (and no more) shall have been duly issued and shall be outstanding as fully paid and non-assessable.;

The authorized capital of the Purchaser consists of an unlimited number of common shares and an unlimited number of preferred shares, of which (i) at the date of this Agreement, 24,610,042 common shares (and no more) have been duly issued and 30,608,366 are outstanding as fully paid and non-assessable and no preferred shares are outstanding, and (ii) at as of the Closing Time, 24,610,042 common shares (and no more) shall have been duly issued and shall be outstanding as fully paid and non-assessable.date hereof; and

Authorized and Issued Capital. The authorized capital of the Purchaser consists of an unlimited number of common shares and an unlimited number of preferred shares, of which (i) at the date of this Agreement, 24,610,042 common shares (and no more) have been duly issued and 28,984,500 are outstanding as fully paid and non-assessable and no preferred shares are outstanding, and (ii) at as of the Closing Time, 24,610,042 common shares (and no more) shall have been duly issued and shall be outstanding as fully paid and non-assessable.date hereof; and
