Common use of Authorized and Issued Capital Clause in Contracts

Authorized and Issued Capital. The authorized capital of the Corporation consists of an unlimited number of common shares of which 75 "A" category shares have been validly issued to the Vendors and are outstanding as fully paid and non-assessable (the "TOTAL SHARES"). No shares, options, warrants or other rights for the purchase, subscription or issuance of shares or other securities of the Corporation or securities convertible into or exchangeable for shares of the Corporation have been authorized or agreed to be issued or are outstanding, which would have the effect of reducing the percentage ownership represented by the Purchased Shares below 100%.
