Common use of Authorized and Issued Capital Clause in Contracts

Authorized and Issued Capital. The authorized capital of the Company consists of 10,000,000 Common Shares, of which 1,000,000 Common Shares (and no more) have been duly issued and are outstanding as fully paid and non-assessable shares. The Purchased Shares constitute all of the issued and outstanding Common Shares in the capital of the Company.

The Purchased Shares constitute all Company is a “private issuer” as defined in s.2.4 of the issued and outstanding Common Shares in the capital of the CompanyNational Instrument 45-106.
