Authorized Distributor. The supplier shall be the manufacturer or authorized distributor of the proposed products. The distributor shall be authorized to sell to the City of Xxxxxx, and make available the manufacturer’s representative as needed by the City.
Authorized Distributor. Contractor represents and warrants, as previously certified in Contractor’s Bidder Certification, that contractor is a duly authorized wholesale distributor of all of the manufacturer product lines stated in Exhibit C Category 2. A wholesale distributor agreement must be in full force and remain valid during the term of the Master Contract. Upon request by Enterprise Services, Contractor shall provide evidence of its status as an authorized wholesale distributor. In the event the wholesale distributor loses its authorized reseller status, it must immediately notify Enterprise Services and that loss could be the basis for a material breach of the Master Contract.
Authorized Distributor. A Distributor distributing product within the terms of an Original Component Manufacturer (OCM) or the Original Equipment Manufacturer (OEM) contractual agreement. Contractual agreement terms include, but are not limited to, distribution region, distribution products or lines, and warranty flow down from the OCM/OEM. Under this distribution, the distributor would be known as an Authorized Distributor.
Authorized Distributor. In connection with US Bio’s engagement under Section 2.1 above, and solely for the limited purpose of compliance with the pedigree requirements of the Prescription Drug Marketing Act and any similar state laws, Dyax hereby designates US Bio as an Authorized Distributor of Record (“ADR”) of the Product during the Term.
Authorized Distributor. Salix hereby appoints Xxxxxx to market, distribute, offer for sale and sell the Generic Product to Authorized Purchasers in the Territory under the NDA during the Distribution Period [*], and Xxxxxx hereby accepts such appointment. Xxxxxx acknowledges and agrees that until the Launch Date, Xxxxxx shall have no right to distribute, market, sell or accept orders for the sale of the Generic Product, except that Xxxxxx may engage in pre-booking activities of the type described in Exhibit B. Authorized Distributor. Vendor represents, warrants and guarantees that it is an authorized distributor of all equipment and other goods procured by UAMS under this Purchase Order. Prior to the issuance of a purchase order, Vendor may be required to submit a letter from the manufacturer as proof of authorization.
