Common use of Authorized Representative Certificate of Issuing and Paying Agent Clause in Contracts

Authorized Representative Certificate of Issuing and Paying Agent. The Bank shall have received one or more certificates of an Authorized Representative of the Issuing and Paying Agent certifying collectively as to (a) the authority, incumbencies and specimen signatures of the officers of the Issuing and Paying Agent authorized to sign each of the Program Documents being delivered concurrently herewith and to which the Issuing and Paying Agent is a party and the other documents to be delivered by the Issuing and Paying Agent hereunder and thereunder, and (b) the identity of the officer or officers who will be authorized to represent the Issuing and Paying Agent in connection with the Letter of Credit, upon which the Bank may rely until they receive a new such certificate.
